1. General provisions

These terms of service (the “Terms”) set out how services provided by D 14, MB (a small partnership, company code 308115071, VAT code LT100020749413, registered office at Didžioji g. 14-1, LT-01128 Vilnius, Lithuania) (the “Provider”) are ordered, provided and paid for.

A “Client” is a legal or natural person who orders the Provider’s services through the website d14vilnius.lt or the client portal d14vilnius.lt/klientas (the “Portal”).

An individual written contract is concluded with each Client. Where the individual contract differs from these Terms, the individual contract prevails.

2. Services

The Provider offers the following services:

  • Virtual office. The Client is granted the right to register its company’s registered office at Didžioji g. 14-1, Vilnius. The Provider supplies the premises owner’s consent as set out in these Terms and in the contract.
  • Company registration assistance. The Provider prepares the incorporation documents and submits the application to the State Enterprise Centre of Registers (Registrų centras). The price of this service is EUR 80 plus VAT.
  • Additional services, the list, scope and price of which are stated on the website, in the Portal or in the contract.

Decisions to register a legal entity or changes to its data are made by the Centre of Registers. The Provider does not guarantee that registration will be completed and is not responsible for the decisions of the Centre of Registers.

The Provider does not provide legal services. Legal services are provided to the Client directly by the law firm WIDEN Legal under a separate contract concluded with the Client. WIDEN Legal is responsible for those services.

The Provider does not provide accounting services and does not prepare or file the Client’s tax returns or reports with the State Tax Inspectorate (VMI) or any other authority.

3. Ordering and conclusion of the contract

Services are ordered in the Portal as follows:

  • The Client creates an account with an e-mail address and password and confirms the e-mail address.
  • The Client completes the application form, providing company and director details, the origin of funds, the beneficial owners and whether any of them is a politically exposed person.
  • The Client uploads the director’s identity document, the beneficial owners declaration and any other documents requested.
  • After checking the information provided, the Provider issues the contract, which the Client signs in the Portal.
  • Once the contract is signed, the Client receives a prepayment invoice.

The Provider is required to identify the Client and its beneficial owners under the Law of the Republic of Lithuania on the Prevention of Money Laundering and Terrorist Financing. If the Client does not provide the information or documents required by that law, the Provider cannot conclude the contract or provide the services.

The Client is responsible for ensuring that the information provided is accurate and complete, and must inform the Provider of any changes without delay.

4. Price and payment

The virtual office fee is set per year and stated in the contract. VAT is added to the fee.

The prepayment invoice must be paid within 10 calendar days of the date the contract is signed.

When the contract is renewed for a further period, the Client receives a new invoice for the annual fee.

In case of late payment, the Provider may charge late payment interest of 0.05 % of the overdue amount for each day of delay.

5. Provision of the registered office address

The Provider supplies the premises owner’s consent to register the Client’s registered office within 5 business days of receiving payment.

The Client may use the address only for lawful activities and only to register its own company’s registered office. The Client may not transfer or grant the right to use the address to third parties.

6. Term and renewal

The virtual office contract is concluded for a term of 12 months.

Unless the Client gives written notice that it does not wish to renew at least 10 business days before the end of the term, the contract is automatically renewed for a further 12 months. Renewal may be repeated.

7. Termination

Either party may terminate the contract without giving a reason by giving the other party at least 14 calendar days’ written notice.

If the Provider terminates the contract, it refunds to the Client the proportional part of the fee for the unused period.

In other cases, refunds of fees paid are governed by the individual contract.

8. Client obligations after the contract ends

When the contract ends for any reason, the Client must deregister its registered office from the address Didžioji g. 14-1, Vilnius within 20 calendar days.

If the Client fails to do so, it must pay the Provider a fine of EUR 100 for each month of delay and compensate the Provider for any losses incurred.

9. Liability

Each party is liable for failure to perform, or improper performance of, its obligations in accordance with the laws of the Republic of Lithuania and the contract.

The Provider is not responsible for the Client’s business, the Client’s obligations to public authorities, or the actions or decisions of third parties, including the Centre of Registers and WIDEN Legal.

10. Notices

Notices relating to the contract are sent by post and by e-mail to the addresses stated in the contract. A party whose contact details change must inform the other party without delay.

11. Personal data

Personal data is processed in accordance with the Privacy policy and the Data processing document published on this website.

12. Governing law and disputes

These Terms and the contract are governed by the laws of the Republic of Lithuania.

Disputes are resolved by negotiation. If no agreement is reached, disputes are resolved by the courts of the Republic of Lithuania.

13. Changes to the Terms

The Provider may amend these Terms. The current version is published on this page together with the date of the last update. Changes apply to contracts already concluded only as provided in the contract.
